Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions ("Agreement") govern your participation in the UserSessions.io Affiliate Program ("Program") operated by UserSessions LLC ("Company", "we", "us", or "our"). By clicking "Accept" on your invitation link, you ("Affiliate", "you", or "your") agree to be bound by this Agreement in full. If you do not agree to these terms, do not accept the invitation. This Agreement is between you and UserSessions LLC, a Wyoming Limited Liability Company. It is separate from and in addition to any other agreements you may have with us.

To participate in the Program you must: — Be at least 18 years of age — Have received a valid invitation from UserSessions LLC — Accept this Agreement via your invitation link — Have a valid PayPal or Payoneer account to receive payments — Not be an employee, contractor, or immediate family member of UserSessions LLC We reserve the right to approve or reject any affiliate application at our sole discretion. Acceptance of an invitation does not guarantee ongoing participation in the Program. You may not participate in the Program if you are located in a jurisdiction where participation would violate local laws or regulations.

Upon acceptance of this Agreement, you will receive a unique affiliate link ("Affiliate Link") in the format: https://app.usersessions.io/install?aff={your_code} Your Affiliate Link is personal to you and must not be shared with or transferred to any third party. You are responsible for all activity that occurs through your Affiliate Link. We reserve the right to change, disable, or terminate your Affiliate Link at any time for any reason including but not limited to violation of this Agreement. Affiliate Links must not be used in any way that violates our Acceptable Use policy in Section 7 of this Agreement.

You earn commission on paid subscriptions from merchants who install UserSessions.io through your Affiliate Link. COMMISSION RATE: You earn 30% of the net revenue we receive from each qualifying merchant for a maximum of 12 consecutive monthly charges. NET REVENUE DEFINITION: Net revenue is the amount we receive after Shopify deducts their platform fee (currently 20% of the gross charge). Commission is calculated on net revenue, not the gross amount paid by the merchant. EXAMPLE CALCULATIONS: Starter plan ($29/month): - Shopify fee: $5.80 (20%) - Our net revenue: $23.20 (80%) - Your commission: $6.96 (30% of $23.20) Growth plan ($79/month): - Shopify fee: $15.80 (20%) - Our net revenue: $63.20 (80%) - Your commission: $18.96 (30% of $63.20) Plus plan ($199/month): - Shopify fee: $39.80 (20%) - Our net revenue: $159.20 (80%) - Your commission: $47.76 (30% of $159.20) 12-MONTH CAP: Commission is paid for a maximum of 12 monthly charges per referred merchant. After the 12th charge, commission stops automatically regardless of whether the merchant continues to subscribe. FREE TRIAL PERIOD: All paid plans include a 30-day free trial. No commission is earned during the free trial period. Commission begins only from the first successful charge after the trial ends. PLAN CHANGES: If a referred merchant upgrades or downgrades their plan, commission is calculated based on the plan active at the time of each charge.

A "Qualifying Referral" is a merchant who: — Installs UserSessions.io through your unique Affiliate Link — Subscribes to a paid plan (Starter, Growth, or Plus) — Completes their 30-day free trial and is successfully charged by Shopify — Is not an existing UserSessions.io customer at the time of installation — Is not an employee, contractor, or affiliate of UserSessions LLC ATTRIBUTION: Attribution is based on the first click. If a merchant installs through your link, you receive credit for that merchant regardless of other marketing they may have seen. If a merchant has previously clicked another affiliate's link, the earlier click takes precedence. ATTRIBUTION WINDOW: The attribution window is 30 days. If a merchant clicks your Affiliate Link and installs within 30 days, the referral is attributed to you. After 30 days the link attribution expires. SELF-REFERRALS: You may not refer yourself or any business you own or control. Self-referrals will be reversed and may result in termination from the Program. FRAUDULENT REFERRALS: Any referrals obtained through fraudulent means, fake accounts, or manipulation of our tracking systems will be disqualified and reversed.

PAYMENT SCHEDULE: We process commission payments on the 15th of each calendar month for charges that cleared during the previous calendar month and have passed our payment eligibility period. PAYMENT ELIGIBILITY PERIOD: Due to Shopify's payment processing timeline, commissions become eligible for payment 5 business days after Shopify processes the merchant charge. This means: Example: Merchant charged June 1 Shopify pays us approximately June 6 Commission eligible: June 6 Included in: July 15 payment MINIMUM PAYOUT THRESHOLD: The minimum payout is $20.00 USD. If your earned commissions for a payment period are below $20.00, they will roll over to the next payment period until the threshold is reached. PAYMENT METHODS: We currently pay via: — PayPal (preferred) — Payoneer You are responsible for providing accurate payment details. We are not responsible for payments sent to incorrect accounts due to information you provided. PAYMENT CURRENCY: All commissions are paid in US Dollars (USD). TAXES: You are solely responsible for paying all taxes applicable to commissions you receive. We will provide a summary of annual payments upon request for tax reporting purposes. If required by law, we may withhold taxes from your payments. PAYMENT DISPUTES: If you believe a payment is incorrect, you must notify us at support@usersessions.io within 30 days of the payment date. We will investigate and respond within 14 business days.

As an affiliate you agree to promote UserSessions.io honestly and in compliance with all applicable laws. You MUST NOT: PROHIBITED PROMOTION METHODS: — Make false or misleading claims about UserSessions.io, its features, pricing, or results — Guarantee specific revenue recovery amounts or store performance improvements — Use spam, unsolicited emails, or any form of communication that violates CAN-SPAM, GDPR, or other applicable laws — Bid on our brand terms (usersessions, usersessions.io) in paid search advertising without prior written approval — Create websites, social media accounts, or content that impersonates UserSessions.io — Use our logos, trademarks, or brand assets without prior written approval — Promote UserSessions.io on adult content platforms, gambling sites, or any illegal platforms — Make claims about competing products that are false or defamatory — Use cookie stuffing, forced clicks, or other manipulative tracking methods — Create fake reviews or testimonials — Offer cashback, rebates, or financial incentives to merchants for installing through your link REQUIRED DISCLOSURES: You must clearly disclose your affiliate relationship with UserSessions.io in any content where your Affiliate Link appears. This includes but is not limited to YouTube video descriptions, blog posts, social media posts, newsletters, and podcasts. Disclosure must be clear and conspicuous. Examples of acceptable disclosure: "This is an affiliate link — I earn a commission if you subscribe" or "#ad #affiliate" in social media posts. Failure to disclose may result in immediate termination from the Program and forfeiture of unpaid commissions.

UserSessions LLC grants you a limited, non-exclusive, non-transferable, revocable license to use our approved marketing materials, logos, and brand assets solely for the purpose of promoting UserSessions.io under this Agreement. You may not modify our brand assets, logos, or marketing materials without prior written approval. All intellectual property of UserSessions LLC remains the exclusive property of UserSessions LLC. This Agreement does not transfer any intellectual property rights to you. Any content you create to promote UserSessions.io remains your property. However, you grant us a non-exclusive license to share, repost, or reference your promotional content.

During and after your participation in the Program, you agree to keep confidential any non-public information about UserSessions LLC that you may learn through the Program, including but not limited to: — Commission rates and payment details specific to your account — Information about other affiliates — Internal business metrics or strategies shared with you — Unreleased features or product roadmap information This confidentiality obligation does not apply to information that is publicly available or that you are required to disclose by law.

UserSessions LLC reserves the right to modify the Program at any time including: — Commission rates (with 30 days notice for active affiliates) — Payment schedules and minimums — Eligible products and plans — Attribution windows and rules — Acceptable use policies We will notify active affiliates of material changes via email to the address on file. Your continued participation after the notice period constitutes acceptance of the changes. If we reduce commission rates, the new rate applies only to new referrals made after the change date. Existing qualifying referrals within their 12-month commission window retain the commission rate active at the time of their first qualifying charge.

TERMINATION BY US: We may terminate your participation in the Program immediately and without notice if you: — Violate any provision of this Agreement — Engage in fraudulent activity — Damage the reputation of UserSessions LLC — Violate any applicable laws or regulations We may terminate your participation with 30 days notice for any other reason at our discretion. TERMINATION BY YOU: You may terminate your participation at any time by emailing support@usersessions.io. Your Affiliate Link will be deactivated within 5 business days. EFFECT OF TERMINATION: Upon termination: — Your Affiliate Link will be immediately deactivated — You will receive any earned commissions for qualifying referrals up to the termination date, subject to the minimum payout threshold and payment schedule — Commissions from referrals within their active 12-month window will continue to be paid out until the window expires, unless termination was for cause — If termination is for violation of this Agreement, unpaid commissions may be forfeited at our discretion SURVIVAL: Sections 7, 8, 9, 12, and 13 survive termination of this Agreement.

You represent and warrant that: — You have the legal right and authority to enter into this Agreement — Your participation in the Program does not violate any other agreement you are party to — All information you provide to us is accurate and complete — You will comply with all applicable laws and regulations in your promotion activities — You will maintain accurate and clear disclosures of your affiliate relationship — You have a valid and active payment account to receive commissions We represent and warrant that: — We will pay earned commissions in accordance with this Agreement — We will provide you with accurate tracking and reporting of your referrals — We will notify you of material changes to the Program with reasonable notice

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: UserSessions LLC shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program, including but not limited to loss of anticipated commissions, loss of profits, or loss of business. Our total liability to you under this Agreement shall not exceed the total commissions paid to you in the 3 months preceding the claim. We make no guarantees about the earning potential of the Program. Commission earnings depend entirely on your promotional efforts and the purchasing decisions of merchants you refer.

You agree to indemnify, defend, and hold harmless UserSessions LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: — Your violation of this Agreement — Your promotional activities — Your violation of any applicable laws — Any false or misleading claims you make about UserSessions.io — Any third-party claims arising from your content or promotions We will notify you promptly of any such claim and cooperate with your defense at your expense.

INFORMAL RESOLUTION: Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting support@usersessions.io. We will attempt to respond within 14 business days. GOVERNING LAW: This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. ARBITRATION: Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Wyoming. The arbitrator's decision shall be final and binding. CLASS ACTION WAIVER: You waive any right to participate in class action lawsuits or class-wide arbitration against UserSessions LLC related to this Agreement.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between you and UserSessions LLC regarding the Program and supersedes all prior agreements and understandings. SEVERABILITY: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. NO WAIVER: Our failure to enforce any provision of this Agreement shall not constitute a waiver of our right to enforce it in the future. ASSIGNMENT: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets. RELATIONSHIP: You are an independent contractor. This Agreement does not create an employment, partnership, joint venture, or agency relationship between you and UserSessions LLC. NOTICES: All notices under this Agreement must be sent by email. Notices to us must be sent to support@usersessions.io. Notices to you will be sent to the email address you provided.
